These Terms and Conditions of Sale (the “Terms”) govern the contractual relationship between the Owner and any individual or legal entity (the “Customer”) who purchases products through the website tesseratextile.com (the “Website”). By placing an order through the Website, the Customer fully accepts these Terms.

2. Products

The following products are offered through the Website:

  • Custom embroidered patches.
  • Tactical clothing, including polo shirts and softshells.

Products may be available in stock or made to order, in which case the Customer may request customization and, where enabled during the purchase process, attach a design file to the order.

All prices are stated in euros (€) and include applicable VAT, unless expressly stated otherwise. Shipping costs will be shown itemized before the order is finalized.

The Owner reserves the right to modify, at any time, the products offered, their characteristics, and their prices, without affecting orders already confirmed.

3. Order Process

  1. The Customer adds products to the cart, selecting customization options where applicable.
  2. The Customer proceeds to checkout, managed through the Stripe platform.
  3. The Customer enters shipping details and selects a shipping method.
  4. The Customer makes payment by credit or debit card.
  5. The Customer receives an automatic confirmation email from [email protected].
  6. The Owner receives the order notification to proceed with preparation.

Confirmation of the order, evidenced by the sending of the confirmation email, formalizes the contract of sale between the parties. The Owner reserves the right to refuse or cancel an order in the event of a pricing or availability error, missing information, or reasonable suspicion of fraud.

4. Payment

The charge is processed at the time the order is confirmed. Payment data is handled exclusively by Stripe — the Owner does not have access to, and does not store, such data. For more information: stripe.com/en-es/privacy.

5. Shipping

The Website ships to the countries enabled at any given time, as shown during the purchase process. Several shipping options are available with prices and estimated delivery times shown before completing the order. Free shipping is offered above a minimum purchase amount indicated on the Website.

Shipping is carried out primarily through Correos (the Spanish national postal operator), without prejudice to the Owner's right to use other carriers according to operational needs.

5.1 Production and Delivery Times

Embroidered patches are generally held in stock. If a product is not available at the time of the order, the production time may extend up to a maximum of 7 business days before shipment, in addition to the transit time for the corresponding destination.

6. Product Customization

The Customer may request customized products and attach a design file during the order process. Before starting production, the Owner may contact the Customer via [email protected] to confirm design details.

The Customer is responsible for ensuring that any design file provided does not infringe the intellectual or industrial property rights of third parties. The Owner reserves the right to refuse any design considered inappropriate, unlawful, or infringing on third-party rights.

7. Right of Withdrawal

In accordance with Directive 2011/83/EU and its transposition into Spanish law (TRLGDCU), a Customer who qualifies as a consumer has a period of 14 calendar days from receipt of the product to exercise their right of withdrawal, without the need to provide a reason, provided that the product has not been customized.

7.1 Exclusion for Customized Products

Article 16(c) of Directive 2011/83/EU excludes from the right of withdrawal contracts for goods made to the consumer's specifications or clearly personalized (Article 103.c) TRLGDCU). This includes embroidered patches with the Customer's own design and garments with made-to-measure customization. The Customer is informed of this exclusion before completing their order.

7.2 Non-Customized Stock Products

Products purchased in stock, without any customization, are subject to the 14-calendar-day right of withdrawal.

7.3 Return Procedure and Costs

To exercise the right of withdrawal, the Customer must notify the Owner unambiguously via email at [email protected] within the period indicated. The Customer shall bear the cost of returning the product. The Owner will refund the amount paid within a maximum of 14 calendar days from receipt of the withdrawal notice.

7.4 B2B Customers

The right of withdrawal applies exclusively to Customers who qualify as consumers. B2B customers do not have a statutory right of withdrawal. Any return or cancellation requested by a B2B Customer will be subject to the general rules on contractual breach under applicable Spanish commercial and civil law.

8. Legal Warranty

8.1 Consumer Customers

Products purchased by a consumer are covered by a legal warranty of three years from delivery, in accordance with Directive (EU) 2019/771 as transposed into Spanish law via the TRLGDCU. The Owner does not currently offer any commercial warranty beyond the legally established one.

8.2 B2B Customers

The three-year consumer warranty does not apply to B2B purchases. Liability for defects is governed by the general rules under the Spanish Commercial Code and Civil Code.

8.3 Reporting a Defect

Contact [email protected] indicating the order number and describing the defect observed.

9. Communications

After placing an order, the Customer will automatically receive a confirmation email. For order queries: [email protected]. For general inquiries: [email protected].

10. Data Protection

The processing of personal data is governed by the Website's Privacy Policy. Payment data is processed directly by Stripe Payments Europe, Ltd., and the Owner does not have access to such data.

11. Applicable Law and Jurisdiction

These Terms are governed by Spanish law. For consumer disputes, the courts of the Customer's domicile shall have jurisdiction. For B2B relationships, the parties submit to the courts of the Owner's domicile as indicated in Section 1.

Consumer customers may access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. Modification of These Terms

The Owner may modify these Terms at any time. The terms applicable to each order will be those in force on the Website at the time the order is placed.
